Welcome to BidFind.ai (“we,” “us,” or “our”). BidFind.ai is an AI-powered software-as-a-service (“SaaS”) platform designed to search for and report on Request for Proposals (“RFP”) and related bidding activity on behalf of our customers (the “Service”). By accessing or using our website and Service, you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree to these Terms, you may not use the Service.

1. Acceptance of Terms
1.1 Binding Contract
By registering for, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any other guidelines, policies, or rules that we may post. If you do not agree, please discontinue your use of the Service.
1.2 Eligibility
You represent and warrant that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Description of Service
2.1 AI-Powered RFP Search
BidFind.ai uses artificial intelligence and other data analysis methods to search for RFPs and bidding opportunities based on the criteria you provide. The Service aims to help you find relevant opportunities more quickly and efficiently.
2.2 Accuracy and Limitations
While we strive to provide highly accurate and up-to-date results, you acknowledge that no AI system or data collection process can guarantee 100% completeness or accuracy. There is always a possibility that some relevant RFP activity may go unreported, delayed, or flagged inaccurately.
2.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service, temporarily or permanently, at any time without prior notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. User Accounts
3.1 Registration
To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update this information if it changes.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized access or use of your account.
3.3 Account Restrictions
You may not share your account credentials with any third party or allow others to access the Service through your account. We reserve the right to suspend or terminate your account if we suspect unauthorized use or breach of these Terms.
4. Subscription, Fees, and Payment

Except as required by law or unless otherwise specified in any separate agreement, all fees paid are non-refundable.

You agree not to:

- Interfere with the operation of the Service or place an unreasonable load on our infrastructure.

You are solely responsible for ensuring that your use of the Service is in compliance with all applicable laws, regulations, and industry standards.
6. Intellectual Property

All content, features, and functionality on or related to the Service (including, but not limited to, software, algorithms, text, graphics, logos, and trademarks) are owned by or licensed to BidFind.ai and are protected by intellectual property laws.
6.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
6.3 Feedback
If you provide us with any suggestions, ideas, or feedback, you grant BidFind.ai a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such feedback into our products or services.

8. Disclaimer of Warranties
8.1 No Warranty

We do not warrant the completeness or accuracy of information and data provided by the Service. While we strive to provide reliable data, you acknowledge that some RFP opportunities may go unreported or be inaccurately flagged.

We may rely on information from third-party sources. We do not endorse or assume any responsibility for the accuracy, reliability, or content of any third-party data or sites.
8.4 No Guarantee
We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
9. Limitation of Liability
9.1 Exclusion of Damages
To the fullest extent permitted by law, BidFind.ai and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use or inability to use the Service, even if advised of the possibility of such damages.
9.2 Cap on Liability
In no event shall the aggregate liability of BidFind.ai exceed the total amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the liability or one hundred US dollars (USD 100), whichever is greater.
9.3 Essential Purpose
You acknowledge that these limitations of liability form an essential basis of the bargain between you and BidFind.ai, and without them, BidFind.ai would not be able to provide the Service on an economically feasible basis.
10. Indemnification
You agree to indemnify, defend, and hold harmless BidFind.ai and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
11. Term and Termination
11.1 Term
These Terms will remain in effect for as long as you use the Service or maintain an account.
11.2 Termination by You
You may terminate your account at any time by discontinuing use of the Service and, if applicable, canceling your subscription before the next billing cycle.
11.3 Termination by Us
We reserve the right to suspend or terminate your account or access to the Service at any time, with or without cause, and with or without notice.
11.4 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination (e.g., indemnification, limitation of liability, disclaimer of warranties) will continue to apply.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of New Hampshire, without regard to its conflict of law principles.
12.2 Dispute Resolution
Any disputes arising under these Terms shall be resolved through negotiation in good faith. If negotiation fails, disputes may be resolved in a court of competent jurisdiction within New Hampshire, unless otherwise required by applicable law.
13. Changes to the Terms
We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. If we make material changes, we will provide notice by posting the revised Terms on our website and updating the “Last Updated” date. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and BidFind.ai regarding the Service.
14.2 Severability
If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision will be severable from these Terms and will not affect the validity and enforceability of the remaining provisions.
14.3 No Waiver
No waiver by BidFind.ai of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
14.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice.
14.5 Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure results from events beyond our reasonable control, including acts of God, natural disasters, accidents, strikes, war, terrorism, or governmental actions.
